These Terms & Conditions ("Terms") govern your use of the TRS Distribution website and services. By accessing our website or submitting a wholesale inquiry, you agree to be bound by these Terms.

1. Acceptance of Terms

By using this website or engaging with TRS Distribution services, you confirm that you are authorized to act on behalf of your business entity and that you accept these Terms in full. If you do not agree, you must not use our services.

2. Eligibility

Our wholesale services are available exclusively to registered businesses, including retailers, clubs, schools, and sports organizations. We reserve the right to verify business credentials and decline applications at our sole discretion.

3. Account Registration

Approved wholesale partners will receive account credentials to access pricing and place orders. You are responsible for maintaining the confidentiality of your account and for all activity under your login. You must notify us immediately of any unauthorized access.

4. Pricing & Payment

• All prices are quoted in Canadian Dollars (CAD) unless otherwise stated
• Wholesale pricing is confidential and may not be shared publicly
• Prices are subject to change without prior notice; confirmed orders are honored at the quoted price
• Payment terms are established per account; failure to meet payment terms may result in account suspension
• All applicable taxes are the responsibility of the buyer

5. Orders & Fulfillment

All orders are subject to product availability. We reserve the right to limit quantities, cancel orders, or refuse service. Estimated delivery times are provided in good faith but are not guaranteed. Title and risk of loss transfer to the buyer upon delivery to the carrier.

6. Returns & Defects

Defective or damaged products may be returned within 30 days of delivery with prior authorization. Custom or personalized products are non-returnable unless defective. Return shipping costs for non-defective items are the responsibility of the buyer.

7. Intellectual Property

All content on this website — including logos, text, images, and design — is the property of TRS Distribution or its licensors. Wholesale partners may use provided marketing materials solely for the purpose of reselling our products. Unauthorized reproduction or distribution is prohibited.

8. Limitation of Liability

To the maximum extent permitted by law, TRS Distribution shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of our services, even if advised of the possibility of such damages. This Wholesale Agreement ("Agreement") sets forth the terms under which TRS Distribution agrees to supply products to approved wholesale partners ("Buyer"). By submitting a wholesale inquiry and being approved, the Buyer agrees to the following terms.

1. Appointment

TRS Distribution grants the Buyer a non-exclusive, non-transferable right to purchase and resell products within the agreed-upon territory. This appointment does not constitute an exclusive arrangement unless expressly stated in a separate written agreement.

2. Minimum Order Requirements

• Initial opening order: minimum $500 CAD
• Reorders: minimum $250 CAD per order
• Minimum annual purchasing volume may be required to maintain active account status
• Custom or seasonal minimums may apply to specific product lines

3. Pricing & Discounts

Wholesale pricing is provided on a tiered basis. Volume discounts, seasonal promotions, and early-payment incentives may be offered at TRS Distribution's discretion. All pricing is confidential and intended solely for the Buyer's internal use.

4. Resale Conditions

• Products must be resold in new, unaltered condition unless customization was arranged
• The Buyer may not sell below the Manufacturer's Suggested Retail Price (MSRP) without prior written approval
• Online resale is permitted on the Buyer's own website and approved marketplaces
• Resale on unauthorized third-party marketplaces may result in account termination

5. Shipping & Delivery

Orders are shipped FOB origin. Standard processing time is 1–3 business days. Shipping costs are calculated at checkout or quoted separately for large orders. Expedited shipping is available at additional cost.

6. Returns & Warranty

Defective products may be returned within 30 days of delivery for replacement or credit. Buyer must provide photographic evidence of defects. Non-defective returns are subject to a 15% restocking fee. Custom products are final sale.

7. Marketing & Brand Usage

TRS Distribution provides approved partners with product images, logos, and marketing materials. These assets must be used as-provided without modification. Any co-branded marketing materials require written approval prior to publication.

8. Confidentiality

Both parties agree to keep confidential all pricing, business terms, product development information, and any proprietary information shared during the course of this Agreement. This obligation survives termination of the Agreement.

9. Termination

Either party may terminate this Agreement with 30 days written notice. TRS Distribution may terminate immediately in cases of: breach of confidentiality, unauthorized resale practices, failure to meet payment obligations, or actions that damage the reputation of our brands.

10. Governing Law

This Agreement shall be governed by the laws of the Province of Ontario, Canada. Any disputes arising under this Agreement shall be resolved through good-faith negotiation, and if necessary, binding arbitration in Ontario.
